Terms of Service

These terms are a binding agreement between Cogvera Systems ("we", "us") and the company or individual subscribing to TraxxPro ("you", "customer"). By creating an account or using the service you accept these terms.
1. The service
TraxxPro is a hosted procurement, purchasing and warehouse operations platform. We provide access on a subscription basis for the plan you select. We may improve or change features over time, but we will not materially reduce core functionality of a paid plan during a term you have already paid for.
2. Accounts and organizations
Your data lives inside an organization workspace. You are responsible for the accuracy of the information you enter, for the actions of users you invite, and for keeping login credentials secure. You must notify us promptly of any unauthorized access.
3. Subscriptions, trials and billing
Paid plans are billed in advance, monthly or annually, through our payment processor. Free trials convert to a paid subscription at the end of the trial unless cancelled beforehand. Subscriptions renew automatically until cancelled. Cancelling stops future renewals; access continues to the end of the current paid period. Fees already paid are non-refundable except where required by law.
4. Acceptable use
You may not use TraxxPro to break the law, infringe rights, upload malicious code, attempt to access another organization's data, resell access without our written agreement, or overload or probe the service outside a good-faith security disclosure.
5. Your data
You own the data you enter. We process it only to operate and support the service, as described in our Privacy Policy. You may export your data at any time while your subscription is active. After termination we retain data for a limited recovery window and then delete it.
6. Availability and support
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated where practical. Support is provided by email at support@traxxpro.com, with response priorities depending on your plan.
7. Pricing intelligence and AI features
Savings estimates, price comparisons, forecasts and AI-generated summaries are decision support only. They are derived from data you supply and may be incomplete or inaccurate. You remain responsible for purchasing decisions and for verifying supplier invoices.
8. Liability
To the maximum extent permitted by law, our aggregate liability arising from the service is limited to the fees you paid in the twelve months before the claim. We are not liable for indirect or consequential loss, including lost profits or procurement losses.
9. Termination
You may cancel at any time from the billing page. We may suspend or terminate accounts that breach these terms or that have unpaid invoices after a grace period and notice.
